Terms of Service

These Terms of Service govern your use of ORYX AI Automations services and our website. By engaging our services or using our website, you agree to these terms. Please read them carefully. If you have any questions, contact us at ryan@oryxaiautomations.com before proceeding.
Services
Scope of work
ORYX AI Automations provides custom AI automation services, including but not limited to AI agents, workflow automation, AI receptionists, Shopify integrations, SEO content systems, and website builds. The specific deliverables for each engagement are agreed in writing before work begins.
Custom-built systems
All systems built by ORYX are custom-developed for each client. Timelines, features, and outcomes are agreed during our consultation process. We do not guarantee specific results, but we stand behind the quality of our work and provide support during the agreed support period.
Third-party services
Many of our systems rely on third-party platforms (such as AI APIs, CRM tools, or automation platforms). We are not responsible for outages, pricing changes, or policy updates from those providers, though we will work with you to find solutions if they occur.
Payment
Fees and invoicing
Project fees and payment schedules are agreed in writing before any work begins. We typically require a deposit before commencing work, with the remainder due on delivery or at milestones specified in the project agreement.
Retainers and ongoing services
For ongoing services (such as monthly maintenance, managed automations, or social media systems), fees are invoiced monthly in advance. Retainer fees are non-refundable once the billing period has started.
Late payment
Invoices are due within 14 days of issue unless otherwise agreed. We reserve the right to pause work or suspend access to systems if invoices remain unpaid beyond 30 days.
Cancellation
Project work
If you cancel a project after work has commenced, you are responsible for payment of work completed to date. Deposits are non-refundable once the project has started.
Ongoing retainers
You may cancel ongoing retainer services with 30 days written notice. Cancellations take effect at the end of the current billing period. We do not offer pro-rated refunds for partial months.
ORYX-initiated changes
We reserve the right to discontinue or modify services with reasonable notice. In such cases, we will provide at least 30 days notice and help you transition your systems as smoothly as possible.
Intellectual Property
Your content
Any content, data, or materials you provide to us remain your property. We only use them to deliver the services you have engaged us for.
Deliverables
Upon receipt of full payment, you own the specific deliverables we have built for you - such as workflows, websites, and automation logic. We retain the right to use the underlying methods, frameworks, and non-client-specific components in future work.
ORYX brand and assets
The ORYX name, logo, website, and all associated materials remain the property of ORYX AI Automations and may not be reproduced without written permission.
Limitation of Liability
No warranty of outcomes
While we build systems with care and expertise, we cannot guarantee specific business results such as revenue increases, lead volumes, or time savings. These depend on factors outside our control, including your business operations, market conditions, and how systems are used.
Limitation of liability
To the fullest extent permitted by law, ORYX AI Automations shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability in connection with any engagement shall not exceed the fees paid by you in the 3 months preceding the claim.
Indemnification
You agree to indemnify ORYX AI Automations against any claims, losses, or damages arising from your misuse of the systems we deliver, or from content and data you provide to us.
Governing Law
Jurisdiction
These terms are governed by the laws of England and Wales. Any disputes arising from our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Entire agreement
These terms, together with any written project agreement or statement of work, constitute the entire agreement between you and ORYX AI Automations. They supersede any prior discussions or agreements.
Changes to these terms
We may update these terms from time to time. Material changes will be communicated by email or via our website. Continued use of our services following notice of changes constitutes acceptance of the updated terms.
